Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the LaunchMD website and services. By visiting our website or entering into a service agreement with LaunchMD, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

These Terms apply to all visitors, prospective clients, and clients of LaunchMD (“you” or “your”). LaunchMD refers to our company, its principals, employees, and contractors.

Services

LaunchMD provides organic search growth services for medical and dental practices, including:

• Google Business Profile management and optimization
• SEO website deployment using the LaunchMD Framework
• Monthly SEO content creation and publication
• Reputation management and review request facilitation

The specific scope of services for each client is defined in a separate service agreement or statement of work. These Terms apply in addition to any such agreement. In the event of a conflict, the service agreement controls.

Eligibility

Our services are intended for licensed medical and dental practices and the professionals who operate them. By engaging our services, you represent that you have the authority to enter into a binding agreement on behalf of your practice and that your practice operates in compliance with applicable laws and licensing requirements.

Client Responsibilities

To enable effective delivery of our services, you agree to:

• Provide accurate information about your practice, specialty, and service area
• Grant LaunchMD the access and permissions necessary to manage your Google Business Profile and website
• Review and approve content deliverables in a timely manner
• Notify us promptly of any changes to your practice information, services, or contact details
• Ensure your review request processes comply with applicable platform terms and any professional regulations governing your specialty
• Maintain control of your own accounts and credentials; LaunchMD will not store passwords on your behalf

Intellectual Property

All content produced by LaunchMD on your behalf, including website copy, blog articles, and GBP posts, becomes your property upon full payment for the applicable service period.

The LaunchMD website, brand, and any proprietary systems, frameworks, or processes we use to deliver services remain the exclusive property of LaunchMD. You may not reproduce, reverse-engineer, or redistribute our methodologies or frameworks without written permission.

Payments and Billing

Billing terms, rates, and payment schedules are defined in your individual service agreement. General conditions include:

• Invoices are due within the timeframe specified in your agreement
• Late payments may result in a suspension of services
• All fees are stated in US dollars unless otherwise agreed in writing
• Fees are non-refundable for completed work unless LaunchMD has materially failed to deliver agreed services

Term and Termination

Our services operate on a month-to-month basis unless otherwise stated in your service agreement. Either party may terminate services with written notice as specified in that agreement.

Upon termination:

• All outstanding invoices become immediately due
• LaunchMD will transfer any accounts, credentials, or content assets owned by you within 14 business days
• LaunchMD retains no ongoing rights to access your accounts following the termination date

LaunchMD reserves the right to terminate services immediately and without notice if a client engages in fraudulent activity, provides materially false information, or uses our services in violation of applicable law.

No Guarantees of Specific Results

Organic search performance depends on a wide range of factors outside LaunchMD’s control, including algorithm changes by Google, competitive activity in your market, and the completeness of information you provide. LaunchMD does not guarantee specific rankings, impression counts, or patient acquisition outcomes.

We commit to delivering each service component as described, deploying best practices in local SEO and content, and providing transparent reporting on measurable activity.

Limitation of Liability

To the fullest extent permitted by applicable law, LaunchMD’s total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to LaunchMD in the three months preceding the claim.

LaunchMD shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost patients, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless LaunchMD and its principals, employees, and contractors from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or any claims by third parties resulting from content you have approved for publication.

Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of the service relationship, including business strategies, patient volume, financial information, and proprietary methods. This obligation survives the termination of services for a period of two years.

Third-Party Platforms

Our services involve interaction with third-party platforms including Google, review platforms, and web hosting providers. LaunchMD is not responsible for changes to the policies, features, or availability of these platforms. We will notify you of material changes that affect your services and adapt our approach accordingly.

Governing Law

These Terms are governed by the laws of the state in which LaunchMD is incorporated, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction, and you consent to personal jurisdiction in those courts.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active clients by email at least 14 days before they take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
